1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "You") and Sand-Hut India Private Limited ("Sand-Hut", "Company", "We", "Our", "Us"), a private limited company incorporated under the Companies Act, 2013, having its registered office at No. 23 Anugraha Enclave, Nandagokula Nilaya, Kadabegere, Bengaluru, Karnataka 562130, India.

By accessing or using our services through our website (sandhut.in), mobile applications, or any other platforms, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Our Services

Sand-Hut provides the following services:

• Software Development: Custom software applications, AI solutions, business automation, and IT consulting
• Creative Services: Video production, animation, creative workshops, and digital content creation
• Sports Club Services: Sports coaching, fitness programs, facility access, and community events
• Digital Products: AdminSuite, Droket, True Ledger, Namma Club, and other proprietary software solutions

3. User Accounts and Registration

3.1 Account Creation

To access certain services, you may be required to create an account. You must provide accurate, current, and complete information during registration and maintain the accuracy of such information.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must immediately notify us of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts for security reasons
• Multi-factor authentication may be required for certain services

3.3 Age Restrictions

Our services are not intended for individuals under 18 years of age. For sports club services, minors may participate with parental consent and supervision as per our Sports Club Terms.

4. Payment Terms

4.1 Payment Methods

We accept payments through various methods including but not limited to:

• Credit/Debit Cards (Visa, MasterCard, RuPay, American Express)
• Digital Wallets (Paytm, Google Pay, PhonePe, Amazon Pay)
• UPI (Unified Payments Interface)
• Net Banking from all major Indian banks
• Bank Transfers (NEFT/RTGS/IMPS)
• Razorpay and other authorized payment gateways

4.2 Pricing and Taxes

• All prices are in Indian Rupees (INR) unless otherwise specified
• Prices are inclusive of applicable taxes (GST, Service Tax, etc.) as per Indian law
• We reserve the right to modify pricing with 30 days' notice
• Custom project pricing will be provided through detailed proposals

4.3 Subscription Services

For recurring services, you authorize us to charge your payment method on a recurring basis. Subscriptions will automatically renew unless cancelled 24 hours before the renewal date.

5. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or these Terms
• Infringing on intellectual property rights of others
• Transmitting malicious code, viruses, or harmful content
• Attempting to gain unauthorized access to our systems
• Using our services for fraudulent or illegal activities
• Harassing, abusing, or threatening other users or staff
• Misrepresenting your identity or credentials
• Reverse engineering our software or proprietary systems

6. Intellectual Property Rights

6.1 Our IP Rights

All content, software, trademarks, service marks, trade names, logos, and other intellectual property available through our services are owned by or licensed to Sand-Hut and are protected by applicable copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of any content you provide to us. By submitting content, you grant us a non-exclusive, royalty-free license to use, modify, and display such content in connection with our services.

6.3 Custom Development

For custom software development projects, intellectual property ownership will be specified in separate project agreements. Generally, custom work product belongs to the client upon full payment.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which complies with:

• Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011
• Digital Personal Data Protection Act, 2023
• Google Play Store privacy requirements
• Apple App Store privacy guidelines

8. Service Availability and Performance

8.1 Service Uptime

While we strive for maximum uptime, we do not guarantee uninterrupted service availability. We may temporarily suspend services for maintenance, updates, or due to circumstances beyond our control.

8.2 Support Services

• Technical support is available during business hours (9 AM - 6 PM IST, Monday-Friday)
• Emergency support may be available for critical issues
• Support response times vary based on service level agreements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We do not warrant that our services will meet all your requirements or be error-free
• Force majeure events (natural disasters, government actions, etc.) shall excuse performance delays

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting our support team. Subscription cancellations must be made 24 hours before the next billing cycle to avoid charges.

10.2 Termination by Us

We may suspend or terminate your access immediately for violations of these Terms, illegal activities, or other reasons that may harm our business or other users.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

12. Mobile Application Terms

12.1 App Store Compliance

Our mobile applications are distributed through Google Play Store and Apple App Store. Additional terms from these platforms may apply:

• Google Play Terms of Service
• Apple App Store Terms and Conditions
• Platform-specific content policies and guidelines

12.2 In-App Purchases

In-app purchases are processed through the respective app store's payment system and are subject to their refund policies in addition to our own.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified through email or prominent notice on our website at least 30 days before taking effect. Continued use of our services after changes constitute acceptance of the modified Terms.
